Terms of service

The agreement between you and Delegee OÜ for using Idonym. Plain language; legal teeth where they need to be.

These Terms govern your use of Delegee Idonym. By creating an account or using the service you agree to them. If you do not agree, do not use the service.

1. What Idonym is

Idonym is a web application that detects personal data in documents, replaces it with deterministic pseudonyms, and lets you reverse the substitution ("Restore") when you upload the AI-edited result back into the same session. The service is delivered through your browser at app.delegee-shield.com. No desktop or plug-in installation is required or supported.

Idonym does not provide legal advice. Idonym is a processing tool you operate as part of your own professional workflow.

2. Eligibility and account

You may use Idonym if:

  • You are at least 18 years old and have the legal capacity to enter into a binding agreement.
  • You are using Idonym in a professional capacity (lawyer, notary, paralegal, in-house counsel, or comparable regulated profession), or for legitimate evaluation of such use.
  • Your use of Idonym does not violate the laws of your jurisdiction or the rules of any professional body you are subject to (including bar-association rules on AI use and client confidentiality).

You are responsible for the accuracy of your account information, for keeping your password confidential, and for everything that happens under your account.

3. Plans and pricing

Idonym is a paid service. You will always see the applicable price and billing terms before you are charged.

We may add, change, or remove features as the product evolves. Where a change materially reduces functionality you rely on, we will give reasonable notice, at least 30 days by email for material changes.

Idonym's privacy and security commitments are described in our Privacy Policy.

4. Your content

"Your Content" means everything you upload, paste, or otherwise submit to Idonym, including documents, pasted text, AI-edited Restore inputs, corrections you make during review, and bug reports.

  • You retain all rights in Your Content.
  • You grant Idonym a limited licence to process Your Content solely to provide the service to you: detection, pseudonymization, encrypted-mapping storage, Restore, audit-trail generation, and your own review and download.
  • We do not use Your Content to train AI models. The detection AI is a fixed open-weights model running locally on our server.
  • We do not share Your Content with third parties, except subprocessors strictly necessary to deliver the service (see Privacy Policy §5).

You confirm that you have the right to upload Your Content and that doing so does not violate any duty of confidentiality, contractual restriction, or law. If you are a lawyer subject to bar-association rules, you are responsible for confirming that using Idonym is consistent with those rules in your jurisdiction.

5. Acceptable use

You agree not to:

  • Use Idonym to process content that is unrelated to your professional work, or to test attacks against the service.
  • Reverse-engineer, scrape, or attempt to extract the detection model or its weights.
  • Probe, scan, or attempt to bypass the authentication, ownership, or rate-limit controls.
  • Upload malware, weaponized files, or content designed to harm Idonym, its users, or third parties.
  • Resell access to Idonym, expose it through a public API, or use it to provide an anonymization service to your own customers without a written commercial agreement with us.
  • Use Idonym to process content protected by export controls or sanctions that would make our processing unlawful.

We may suspend or terminate accounts that materially or repeatedly violate these rules. Where the violation is not severe we will give notice and an opportunity to remediate.

6. Service availability

We provide Idonym on a commercially reasonable best-efforts basis. We do not currently offer a contractual uptime SLA. We will publish material incidents on a public status page (link to follow) and notify affected users by email where appropriate.

Idonym runs on a single hardened EU host. We document this in our public architecture notes; it is a deliberate choice, not an oversight. A horizontal-scaling track is on the roadmap.

7. Security and your password

The mapping that lets you reverse pseudonyms back to real client names is encrypted with a key derived from your password (the MEK). This means:

  • The Idonym team cannot read your mappings.
  • The Idonym team cannot recover your mappings if you forget your password. Account recovery resets the password and lets you back in to create new sessions; existing mappings from before the reset become permanently unreadable.

You are responsible for choosing a strong password and storing it safely (a password manager is strongly recommended). If you lose your password, that is a permanent loss of pre-reset mapping data.

8. Disclaimer

Idonym is a tool, not a guarantor. Detection is high-quality and dual-pass, but no automated system is perfect. You remain professionally and legally responsible for reviewing the output before sending it to any AI service, third party, or client.

To the maximum extent permitted by law, Idonym is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that detection will catch every relevant entity in every document.

You must review every anonymized document before relying on it. Idonym's review surface is designed to make that easy; it is not optional.

9. Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or reputational harm.
  • Our aggregate liability for any claim arising out of or related to these Terms or the service is limited to the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) one hundred euros (€100).
  • Nothing in these Terms limits liability for fraud, gross negligence, intentional misconduct, or any liability that cannot be limited under applicable law (including under the GDPR, where statutory rights are unaffected).

If you are a consumer protected by mandatory consumer-law rules in your country of residence, nothing in these Terms reduces those rights.

10. Indemnity

You agree to defend and hold us harmless from third-party claims arising out of your misuse of Idonym, your breach of these Terms, or your violation of a third party's rights through Your Content. This indemnity does not apply to claims caused by our own breach of these Terms or our wilful misconduct.

11. Intellectual property

Idonym, its source code, brand, design system, language packs, prompt assemblies, and documentation are the property of Delegee OÜ or its licensors. These Terms do not grant you any licence to copy, redistribute, or create derivative works of Idonym itself.

The detection AI model is an open-weights model used under its upstream licence; that licence governs the model independently of these Terms.

12. Termination

You may close your account at any time from the Settings page. Account deletion wipes your profile, sessions, mappings, restored bytes, and login tokens. The audit log entries become orphaned (no longer linked to your identity) and are preserved as immutable compliance evidence under Art. 5(2) and 30 GDPR. Bug reports you filed are anonymised (user FK nulled) and retained for engineering follow-up.

We may suspend or terminate your account for material breach of these Terms, suspected fraud, or where required by law. Where the cause is not severe we will give notice and an opportunity to cure.

After termination, sections 4 (your residual ownership of Your Content), 7 (mapping/password mechanics), 8 (disclaimer), 9 (liability), 10 (indemnity), 11 (IP), 13 (governing law), and 14 (changes) survive.

13. Governing law and venue

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-laws principles. The courts of Harju County, Estonia (Harju Maakohus, Tallinn) have exclusive jurisdiction over any dispute arising out of or related to these Terms, subject to mandatory consumer-protection rules that would grant you the right to bring proceedings in your country of residence.

For corporate or firm users in the European Union, this clause does not override any mandatory rules in the GDPR or in your local professional regulations.

14. Changes to these Terms

We may update these Terms from time to time. If the change is material, we will notify you by email at least 30 days before it takes effect and give you the opportunity to terminate your account without penalty. Continued use after the effective date means you accept the updated Terms. The "Last updated" date at the top always reflects the current version.

15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any DPA you sign with us, are the complete agreement between you and us regarding Idonym.
  • No waiver. Our failure to enforce a right is not a waiver of that right.
  • Severability. If any clause is held unenforceable, the rest of the Terms remain in effect.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor entity in connection with a corporate reorganization, merger, or sale of assets, with notice to you.
